Boosters By-Laws

CONSTITUTION

ARTICLE I – NAME

This organization shall be known as the Denbigh Band Boosters Association.

ARTICLE II – PURPOSE

The purpose of the Denbigh Band Boosters Association shall be to encourage and assist, by our interest, time and talents, the promotion and growth of instrumental music at Denbigh High School, to assist the Director(s) in whatever manner may be required, and to promote a sense of individual loyalty and responsibility towards the instrumental music program.

ARTICLE III – QUALIFICATIONS OF MEMBERS

Section 1. Parents of band members from Denbigh High School and persons interested in promoting the work of the Association shall be eligible for membership.

Section 2. Membership shall be granted to an applicant after payment of the dues prescribed by this Association.

ARTICLE IV – OFFICERS AND THEIR ELECTION

The Officers of the Association shall be President, Vice-President, Secretary, and Treasurer. The Officers shall be elected annually at the last meeting in the school year. The term of office shall begin June 15th following election and none shall
be eligible for election for more than two successive terms.

BY-LAWS

ARTICLE I – DUTIES OF THE OFFICERS

Section 1. The President shall preside at all meetings of the Association, shall appoint all committees, and shall be an ex-officio member of all committees except for the Nominating Committee.

Section 2. The Vice-President shall coordinate fund raising events, as well as, assume all of the duties of the President in his/her absence.

Section 3. The Secretary shall keep a record of all meetings of the Association and the Executive Board. The Secretary shall be custodian of the records of the Association except those specifically assigned to others.

Section 4. The Treasurer shall pay all bills upon warrant of the Association, shall collect and dispense all monies of the Association and shall present a written report at each meeting. The Treasurer\’s books shall be audited prior to transfer to the incoming Treasurer.

Notwithstanding the last sentence of Article IV of the Constitution, the Treasurer of the Association shall be eligible for election to four successive terms. Appointment of the Treasurer to a partial term as Treasurer shall be considered one of the successive terms.

Section 5. If, for whatever reason, an officer cannot perform his or her duties for a significant period of time, the board will appoint a replacement for that period of time or until 15 June of the current year.

Section 6. At the discretion of the President, a previous officer may be selected to assist and advise the Executive Board. This position will be filled to provide a new Board with expertise that may not exist. This position will be called the Executive Board Advisor. It will be a non-voting position.

ARTICLE II – STANDING COMMITTEES

Section 1. There shall be the following standing committees: Ways and Means, Denbigh Day, Membership, Publicity, Phone Tree, E-Mail, Newsletter, Pit Crew, Uniform, Chaperone, Color Guard, Alumni, and such others as the Executive Board shall determine.

Section 2. The chairman of each standing committee shall file a written report of the activities and recommendations of the committee to the membership of the Association annually.

Section 3. The chairman of any standing committee shall not hold their position for more than a two (2) year period. This may be waived for the nurse position if there is no one qualified to take over this position, or for any position where there is not a new chair willing to take it on for the upcoming year.

Section 4. The Director(s) of the Instrumental Music shall be ex-officio members of all committees including the Nominating Committee.

ARTICLE III – THE EXECUTIVE BOARD

Section 1. The Executive Board shall be composed of the Officers of the Association and the Director( s) of the Instrumental Music.

Section 2. The Executive Board shall conduct the routine business of the Association.

Section 3. Members of the Executive Board shall act only in an official capacity and shall not take any action or assume responsibility as individuals.

Section 4. The Executive Board shall meet on call of the President, a Band Director, or on call of any two (2) officers.

Section 5. The Executive Board shall make an annual report to the membership at the May meeting. Written recommendations and reports from each officer and committee shall be filed with the Secretary.

Section 6. The Executive Board Advisor, if selected, shall be a source of information on the activities and decisions of the Band Boosters in previous years.

ARTICLE IV – MEETINGS

Section 1. General Membership meetings shall be held on the second Tuesday of each month, except for January when no General Membership meeting will be held. The Executive Board meetings shall be held on the same night, immediately preceding the General Membership meeting.

Section 2. The members present at the membership meeting shall constitute a quorum.

Section 3. Committee meetings shall be at the call of the committee chairman who shall make a record of such meetings as part of the normal report of activities.

ARTICLE V – CHAPERONES

Section 1. Chaperones shall be members in good standing of the Association (i.e. dues have been paid) and shall be at least 21 years of age.

Section 2. Chaperones shall be given a written description of their duties and, by their willingness to be a chaperone, shall agree to comply with the policies stated therein.

Section 3. Chaperones for overnight trips shall be chosen by the Director(s) of Instrumental Music. Travel expenses for chaperones of overnight trips shall be set by the Director(s) of Instrumental Music. These expenses are the
responsibility of the individuals, not the organization.

ARTICLE VI – PIT CREW

Section 1. Pit Crew members for overnight trips shall be chosen by the Director(s) of Instrumental Music. These expenses are the responsibility of the individuals, not the organization.

ARTICLE VII – DUES AND FINANCIAL POLICY

Section 1. Dues shall be determined each year by the Executive Board.

Section 2. The officers of the Association and the chairman of each standing committee shall have paid their dues by the conclusion of the first General Membership Meeting of the school year.

Section 3. Additional funds needed to accomplish the purposes of this Association shall be raised through Ways and Means projects which meet the approval of the Association and the Director(s) of Instrumental Music.

Section 4. A budget shall be formulated by the Treasurer of the Association and Director( s) of Instrumental Music from Denbigh High School and presented for approval by the Executive Board prior to the first membership meeting of the school year. The budget shall then be presented for approval by the membership at the first meeting of the school year.

Section 5. A minimum operation balance of $3,000.00 shall be carried forward by the Association treasury and the end of the school year.

ARTICLE VIII – ELECTIONS

Section 1. A nominating committee, consisting of three (3) members appointed by the Executive Committee, shall submit a slate of officers at the last business meeting of the year. Nominations, with the consent of the nominees, may be made from the floor after this report is given. The list of nominees shall be sent out to each member of the Executive Board at least five (5) days before the election meeting.

ARTICLE IX-PARLIAMENTARY AUTHORITY

Section 1. The rules contained in Robert\’s Rules of Order, revised, shall govern this Association in all cases in which they do not conflict with the rules of the Association.

Section 2. All policies set forth and actions taken must be in accordance with school and school board regulations.

ARTICLE IX – AMENDMENTS

Section 1. The Constitution and By-Laws may be amended by a majority of the members present at any membership meeting provided all amendments have been presented at the preceding membership meeting of the Association.

Section 2. Amendments shall be effective upon adjournment of the meeting at which they were adopted, unless a different effective date is included in the revision.
